Our Code of Business Ethics and Conduct (the \u201cCode\u201d) serves as a guiding framework for all stakeholders, officers, directors, employees, and contractors, outlining the principles, values, and behaviors that define our organization.<\/p>\n\n\n\n<p>By adhering to this Code, we ensure integrity, respect, and accountability in everything we do.<\/p>\n\n\n\n<p><strong><u>PURPOSE<\/u><\/strong><\/p>\n\n\n\n<p>The purpose of the Code is to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Provide Guidance: Set clear ethical guidelines and decision-making standards.<\/li>\n\n\n\n<li>Promote Accountability: Hold individuals accountable for their actions and decisions.<\/li>\n\n\n\n<li>Foster Trust: Build trust with our stakeholders by demonstrating our commitment to integrity and transparency.<\/li>\n<\/ul>\n\n\n\n<p><strong><u>SCOPE<\/u><\/strong><\/p>\n\n\n\n<p>The Code applies to all individuals associated with DerbySoft, including all stakeholders, officers, directors, employees, and contractors, including all independent consultants and service providers.<\/p>\n\n\n\n<p><strong><u>COMPLIANCE WITH ALL LAWS AND REGULATIONS<\/u><\/strong><\/p>\n\n\n\n<p>DerbySoft is dedicated to complying with all applicable laws, regulations, and industry standards. It is the responsibility of every individual associated with DerbySoft, including those identified above, to understand and adhere to these legal requirements in their respective roles.\u00a0All such individuals must familiarize themselves with relevant laws and regulations about their job responsibilities. In addition, they must promptly report any potential violations of laws or regulations to the appropriate parties.<\/p>\n\n\n\n<p>The failure to comply with legal requirements may result in disciplinary action, up to and including termination of employment or contract.<\/p>\n\n\n\n<p><strong><u>ANTI-CORRUPTION AND BRIBERY<\/u><\/strong><\/p>\n\n\n\n<p>DerbySoft strictly prohibits bribery, corruption, and unethical practices in all forms. Violations of this Code may result in disciplinary action, up to and including termination of employment or contract.
